Meta / Meta Platforms infrastructure financing, October 2026
Announced Oct 26, 2026 · Undisclosed · US$35B of launched public offerings; separate potential Class C share program of up to US$60B is not yet established
Meta launched approximately US$35B in public offerings: US$22.5B of Class A common stock under forward sale agreements and US$12.5B of mandatory convertible preferred shares. Meta also plans a separate at-the-market Class C offering of up to US$60B after the class begins trading; the program is not yet established. Meta says the offerings support continued investment in AI infrastructure, but proceeds are for general corporate purposes. Nvidia, AMD, and Broadcom expressed non-binding interest in buying up to US$5B of Class A shares; this is not a committed purchase and is not added. These financing amounts are not project capex, a compute agreement, or MW capacity, and are excluded from financial totals.
